Terms of Service

Please read these Terms carefully before using Consolify One. They govern how field service businesses worldwide access and use our consolidated operations platform.
These Terms govern your general use of the Consolify One platform. If you have an executed Service Agreement with us, that agreement takes precedence for the scope, pricing, and delivery of your specific engagement.
Acceptance of Terms
By accessing or using the Consolify One platform, website, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all users of the Services, including browsers, customers, merchants, contributors, and any other users.
We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on our platform. Continued use of the Services after such notification constitutes acceptance of the updated Terms.
Description of Services
Consolify One provides custom-built business operations software for field service companies, including but not limited to CRM, field service management, scheduling, invoicing, project management, and workflow automation (collectively, the “Platform”).
The scope of services delivered to each customer is defined in a separate Statement of Work or Service Agreement executed between Consolify One and the customer. These Terms govern your general use of the Platform and do not supersede any specific terms in your Service Agreement.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services, provided we act in good faith and with reasonable notice.
User Responsibilities
By using the Services, you agree to the following responsibilities:
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. You are responsible for all activity that occurs under your account.
- Accurate Information: You agree to provide accurate, current, and complete information when using the Services and to keep such information updated.
- Lawful Use: You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to engage in any illegal activity or to violate any applicable laws or regulations.
- Prohibited Conduct: You may not: (a) reverse engineer, decompile, or disassemble any part of the Platform; (b) attempt to gain unauthorized access to any systems or networks; (c) use the Services to transmit spam, malware, or other harmful content; (d) resell or sublicense access to the Services without our written consent.
- Data Accuracy: You are responsible for the accuracy and legality of the data you upload, input, or import into the Platform. We are not responsible for errors or issues resulting from inaccurate data you provide.
Intellectual Property
Consolify One IP: The Platform, including all software, design, architecture, documentation, and content created by Consolify One, is the exclusive intellectual property of Consolify One or its licensors. These Terms do not grant you any ownership rights in the Platform.
License to Use: Subject to these Terms and your Service Agreement, we grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business operations during the term of your agreement.
Your Data:You retain all rights to the data you input into the Platform (“Customer Data”). You grant Consolify One a limited license to access, process, and store your Customer Data solely to provide and improve the Services. We do not claim ownership of your data.
Custom Development: Intellectual property ownership for custom-developed features and modules will be specified in your Statement of Work. Unless otherwise agreed in writing, custom components developed exclusively for your use will be owned by you upon full payment.
Feedback: If you provide us with feedback or suggestions regarding the Services, we may use such feedback without restriction or compensation to you.
Limitation of Liability
Disclaimer of Warranties:The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
Limitation of Damages: To the maximum extent permitted by applicable law, Consolify One shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the Services.
Liability Cap: Our total aggregate liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to Consolify One in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.
Termination
By You: You may terminate your use of the Services at any time by following the terms in your Service Agreement. Early termination fees may apply as specified therein.
By Us: We may suspend or terminate your access to the Services immediately and without notice if: (a) you breach these Terms or your Service Agreement; (b) we are required to do so by law; (c) we determine that continuing to provide Services would expose us or others to legal or security risk.
Effect of Termination: Upon termination, your license to use the Platform ceases immediately. We will provide you with a reasonable opportunity to export your Customer Data prior to deletion. We will retain your data for 90 days post-termination, after which it will be securely deleted unless otherwise required by law.
Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall survive any termination.
Governing Law and Disputes
Consolify One operates worldwide and delivers Services remotely to customers across multiple jurisdictions. Unless a specific governing law is agreed in your executed Service Agreement, these Terms shall be governed by internationally recognized commercial principles, and the governing law for your engagement will be the jurisdiction specified in your Service Agreement.
Dispute Resolution: Any dispute arising out of or related to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC). Arbitration shall be conducted remotely in the English language unless the parties mutually agree otherwise.
Class Action Waiver: You agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm while arbitration proceedings are pending.
